Terms and Conditions

General

This page covers products sold by ChemIndustrial Systems, Inc. (hereafter ChemIndustrial). Such products and services are sold under the following terms and conditions:

Terms

USA: Prior credit approval and non delinquent status are necessary before ChemIndustrial will ship products or provide services on open account. Open account terms are net 30 days unless otherwise noted on the invoice. Past due accounts are subject to the maximum late charge allowed by law, not to exceed 1-1/2% per month (18.0% per annum) on the past due balance. Collection costs will be added to the payable amount for delinquent accounts. Custom-built products will generally require a down-payment and/or progress payments.

Other Countries: Unless other arrangements are made, payment must be made at time of order for shipments to customers outside the USA.

Freight

All products are sold F.O.B. Cedarburg, Wisconsin, USA. Unless other arrangements are made, ChemIndustrial will prepay the carrier and add shipping and handling charges to the invoice.

Damage claims

ChemIndustrial will not accept responsibility for damage to any product while it is in transit to a customer. Every ChemIndustrial shipment is undamaged when picked up by the carrier. If product arrives at customer in damaged condition, customer should follow the carrier's rules concerning claims.

Other claims

All claims for pricing errors, shortages or inaccurate filling of orders must be made to ChemIndustrial within 10 days after receipt of shipment. All claims must identify the merchandise by invoice number and date of billing.

Returns

Prior approval, evidenced by a written return authorization, is required before returning any product. Returns are subject to a 15% restocking fee and must be shipped freight prepaid with the return authorization number clearly labeled on the shipment. Returned product must be identical to current production. It must be in clean, new, salable condition. Custom made or special items are not returnable.

Product design changes

ChemIndustrial reserves the right to change product specifications, to redesign, alter or modify its products at any time, for any reason, without notice and without incurring any liability whatsoever.

Materials

Most of ChemIndustrial's products are designed for general and not specific applications. Because of this, ChemIndustrial is usually not aware of how its products eventually will be used. Each user of ChemIndustrial products should make appropriate analysis and tests to determine the suitability of the product for the intended use prior to placing it in any service and arrange for frequent inspection and periodic maintenance of products thereafter. ChemIndustrial provides no warranty and assumes no responsibility for chemical attack, or the consequences thereof, on any material, component or design feature associated with any of its products.

ChemIndustrial obtains chemical resistance data from many sources, all of which are beyond its control. Furthermore, factors such as concentration, temperature, agitation and presence of impurities influence chemical resistance. Because of these factors, chemical resistance information provided by ChemIndustrial in any form must be considered solely as general background information.

Warranty exclusions

pH probes are consumable items. As such, they are excluded from warranty coverage.

Warranty policy and disclaimer

ChemIndustrial warrants to its customers that all ChemIndustrial products will be free from original defects in materials and workmanship for a period of one year from original shipment. It will replace, free of charge, parts found to be defective under normal use and service within the warranty period, upon return of such parts at customer's expense after return has been authorized in writing. ChemIndustrial will not be responsible for incidental or consequential damages. ChemIndustrial will not be responsible for products which have been neglected, altered or modified, used with non-compatible chemicals or repaired by any party other than ChemIndustrial. ChemIndustrial's liability under this warranty is limited solely to replacement or repair of defective parts. No agent or representative has authority to waive, alter, or add to the printed provisions of this warranty, to make any representation or warranty not contained herein or to extend this warranty to anyone other than ChemIndustrial customers. This warranty is given expressly and in place of all other expressed or implied warranties of merchantability and fitness for particular purpose and this warranty is the only warranty made by ChemIndustrial.

ChemIndustrial cannot and does not assume liability for defective products not manufactured by it, or for damage caused by said defective products, even though such products are used in conjunction with ChemIndustrial brand products.
